These Terms and Conditions ("Terms") govern the provision of construction project management services ("Services") by FormX ("we", "us", or "our"), a company registered in Northern Ireland, to clients ("you" or "Client"). By engaging our Services, submitting an inquiry via our website (formx.co.uk), or entering into a contract with us, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

These Terms incorporate any project-specific agreements, quotes, or proposals ("Project Agreement") and comply with UK law, including the Construction Act 1996, Construction (Design and Management) Regulations 2015 (CDM Regulations), and Building Regulations.
Definitions
Services: Project management including planning, coordination, scheduling, procurement oversight, compliance monitoring, and reporting for construction projects.
Project: The specific construction work managed under a Project Agreement.
Commencement Date: The start date specified in the Project Agreement.
Completion Date: The date by which the Services are to be substantially performed.
Variations: Changes to the scope, timeline, or costs of the Services.
Our Services
We provide professional project management Services tailored to your Project, including site assessments and feasibility studies, scheduling and resource allocation, liaison with subcontractors, suppliers, and regulatory bodies (e.g., Health and Safety Executive - HSE), risk management, budgeting, and progress reporting, as well as compliance with CDM Regulations, health and safety standards, and UK Building Regulations.
Services commence on the Commencement Date and are performed with reasonable care and skill. We may subcontract parts of the Services but remain responsible for their quality. Any materials we supply meet applicable standards under the Supply of Goods and Services Act 1982.
Exclusions: We do not provide direct construction labour, design services (unless specified), or guarantees on third-party work unless agreed.
Your Obligations as Client
You agree to provide accurate information, access to the site, and necessary approvals promptly; cooperate with us and our subcontractors, including site access during working hours; comply with health and safety requirements and notify us of site hazards; pay fees as due and approve Variations in writing; and obtain all necessary permits and insurances (e.g., site insurance) unless we agree otherwise.
Failure to comply may delay the Project and entitle us to extensions or additional costs.
Variations and Changes
Variations must be requested in writing and approved by both parties before implementation. We will provide a quote for cost and timeline impacts. Unapproved Variations do not alter fees or deadlines.
Timeline and Delays
We aim to meet the Completion Date, subject to your cooperation and external factors. Delays caused by you may incur additional fees. For our delays, we cap liability as per the liability section below.
Extensions for force majeure or Variations will be agreed in writing.
Intellectual Property and Confidentiality
We retain ownership of our pre-existing materials, tools, and methodologies. You are granted a non-exclusive licence for Project use. Any IP created for the Project (e.g., reports, schedules) is transferred to you on full payment.
Both parties agree to keep confidential information (e.g., Project details, pricing) secret, except as required by law.
Warranties and Defects
We warrant Services are performed with reasonable care and skill, compliant with UK law. A 12-month defects liability period applies post-Completion; notify us of issues within 14 days for free rectification.
No other warranties apply, including fitness for purpose unless specified.
Liability and Indemnity
Our total liability is capped at the Project fees or £1,000,000 (whichever greater), excluding death/injury from negligence. We are not liable for indirect losses (e.g., lost profits, delays to your business).
You indemnify us against claims arising from your site, information, or instructions.
We maintain public liability (£5M), employer's liability (£10M), and professional indemnity insurance.
Termination and Suspension
By you: With 30 days' notice post-Completion, or immediately for our material breach (with opportunity to remedy). By us: For non-payment (after notice), your breach, or insolvency; or with 30 days' notice. On termination, you pay for Services rendered. We may charge for mobilisation costs.
Suspension: We may suspend for non-payment or safety issues, resuming on resolution.
Force Majeure
Neither party is liable for delays due to events beyond control (e.g., extreme weather, strikes, pandemics, government restrictions). Notify within 3 days; if over 60 days, either may terminate.
Health, Safety, and Compliance
We comply with CDM Regulations, HSE guidelines, and anti-bribery laws. You must provide a safe site and relevant risk assessments.
Dispute Resolution
Disputes shall first be negotiated in good faith. If unresolved, refer to mediation under CEDR rules. Failing that, adjudication under the Construction Act 1996, then courts.
Governing Law and Jurisdiction
These Terms are governed by the laws of Northern Ireland. Disputes fall under the exclusive jurisdiction of the courts of Northern Ireland.
General Provisions
Entire Agreement: These Terms and Project Agreement constitute the full contract. Severability: Invalid provisions do not affect the rest. Assignment: You may not assign without consent; we may. Third Parties: No rights for third parties under the Contracts (Rights of Third Parties) Act 1999. Website Use: Accessing formx.co.uk implies acceptance; we disclaim liability for site inaccuracies.
Changes to These Terms
We may update these Terms with notice via email or website. Continued use constitutes acceptance.
